Introduction:
Salla platform, owned by Salla Application for Information Technology Company, registered with the Ministry of Commerce in the Kingdom of Saudi Arabia under commercial registration number: 7011845513, welcomes you, and informs you that you will find below the terms and conditions governing your use of the Salla platform and all legal effects resulting from your use of the Salla platform services on the World Wide Web, as any person's use of the Salla platform, whether as a consumer, merchant, or otherwise, constitutes consent and acceptance, with full legal capacity recognized by Sharia and law, of all articles, terms, and provisions of this agreement and is a confirmation of your commitment to its systems and what is mentioned therein. We point out to you that the Salla platform may be an (electronic website, a corporate application on mobile phones, or an electronic platform), and this agreement is considered valid and effective as soon as you agree to it and begin registering on the Salla platform.
Article One – Introduction and Definitions:
The introduction above is considered an integral part of this agreement. Below, you will also find the definitions and terms of the key phrases used in this agreement:
( Salla Platform owned by Salla Holding Company ) means Salla Application for Information Technology Company, and this definition includes all forms of Salla Application for Information Technology Company on the World Wide Web, whether it is an electronic application or an online website.
( The Merchant ) means every merchant register on Salla platform to establish their online store, whether a natural or legal person, and this definition includes all aspects of the store as long as they conduct commerce through Salla platform, including the merchant's website.
( The Store ) means the store used by the merchant on Salla electronic platform.
( The Consumer ) means every consumer who purchases the product or service from the merchant through the merchant's online store established via Salla platform.
( The Agreement ) means the rules, terms, and conditions of using Salla electronic platform, i.e., all terms and conditions of this agreement which govern and regulate the relationship between the parties to this agreement.
( Service Provider ) means the services that Salla platform provides to merchants through third parties, and providing services means merely providing the connection between the merchant and the service provider, as Salla platform has no authority over or relation to the agreement concluded between the merchant and the service provider.
Article Two – The Merchant's Legal Capacity:
The merchant acknowledges that they have full legal capacity recognized by Sharia and law, and that they are not less than eighteen years old, as considered in the applicable laws and regulations in the Kingdom of Saudi Arabia, and that they have sufficient knowledge to create, establish, and manage their online store through Salla platform.
As an exception to what is stated in the first clause (1) of Article Two (2), the merchant may practice commerce if they are under the legal age of majority in the Kingdom of Saudi Arabia (eighteen years), provided that they commit to providing proof of their guardian's approval to establish the online store, such as a guardianship deed or a signed consent notification by Sharia legal guardian if required.
The merchant acknowledges that they have sound capacity and are not affected by any of the legal capacity impediments.
If the merchant registers as an institution, company, or any other legal form, this institution, company, or the registered legal form must possess the required legal and Sharia capacity to conduct business activities through Salla electronic platform.
The merchant agrees that in case of violating this article "The Merchant's Legal Capacity", they bear the consequences of this violation before consumers, users, or third parties, as Salla platform has no relation to the merchant's transactions with the consumer or third parties legally and contractually. Salla platform also has the right in this case to hold the merchant accountable under contractual liability and demand compensation for damages that may arise as a result of this violation, including damages to the reputation of Salla platform before other merchants, consumers, users, or third parties.
Article Three – Nature of Salla Platform's Obligation:
The mission of Salla platform is merely to provide electronic support tools by establishing the store, as Salla platform's obligation under this agreement is only to create the merchant's online store on Salla electronic platform and display the store to users.
Salla platform may provide other services to the merchant or the store, such as marketing support services or guidance and instruction services. It may also provide electronic payment gateways across the internet. All services of Salla platform are subject to the articles and terms of this user agreement.
Salla platform is not committed to completing sales transactions of products or services between the consumer and the store, as its obligation ends with providing the online store creation services through Salla platform. This does not affect other services that Salla platform continues to offer, such as guidance, technical support, marketing, and payment methods.
Salla platform may temporarily provide some free services for some stores, such as allowing the merchant to: modify and change the appearance, design, or colors of the store based on their desire. These services are provided by the Salla platform management for free and are limited and subject to specific restrictions. If the merchant wishes to get additional services, they must contact Salla platform technical support to inquire about offers, package fees, and extra services.
All transactions that take place between the merchant and the consumer have no relation to Salla platform itself, and Salla platform is not responsible for them, as this transaction is an independent contractual relationship subject to the agreement concluded between the merchant and the consumer. Accordingly, if the consumer fails to pay the price of the service or product provided by the merchant, Salla platform has no relation to these violations.
All transactions that take place between the merchant and service providers (third-party services) for which Salla platform provides integration or displays their services for the benefit of the merchant and consumer have no relation to Salla platform. This transaction is an independent contractual relationship from Salla platform and is subject to the agreement concluded between the merchant and the service provider. Accordingly, if one of the parties defaults, refrains, or fails to fulfill their agreed-upon obligations or does not execute them as required, Salla platform is not responsible for the results of these actions. Salla platform is not liable for any violations that occur or are committed between the merchant and the service provider.
You understand that Salla platform is considered an online technical platform that allows merchants who agree to this agreement to establish their online store and practice their activity through the store, and its mission ends at this point. There is no liability whatsoever on Salla platform regarding violations committed by the merchant in their store in violation of the provisions of this agreement, and Salla platform has no relation to the transactions between the merchant and the consumer.
Article Four – Rules for Creating an Online Store:
Any person who has the legally and Sharia recognized capacity may establish their store according to the rules and provisions of the terms of use agreement, particularly "Article One – The Merchant's Legal Capacity".
The store established according to Salla platform user agreement must not be in violation of the regulations and laws in the Kingdom of Saudi Arabia. The merchant is committed to clarifying the nature of business they conduct via e-commerce, and the nature of services or products they provide or sell. Salla platform disclaims its responsibility for the store's violation of the regulations of the Kingdom of Saudi Arabia and public morals, and Salla platform always reserves the right to refuse the registration of any online store that does not comply with the laws and regulations in force in the Kingdom of Saudi Arabia or the provisions of this agreement. Consequently, the merchant acknowledges under the provisions of the agreement that their store does not violate public policy in the Kingdom of Saudi Arabia or Islamic morals.
The online store established through Salla platform must not violate the rules and provisions of this user agreement. The merchant also acknowledges that the subject matter of dealings in the store does not violate this agreement or the laws and systems applicable in the Kingdom of Saudi Arabia.
No person has the right to use Salla platform as a merchant if their membership or store has been cancelled by Salla platform or pursuant to judicial orders or judgments.
If any merchant registers as an institution, company, charity, or legal entity, the registered institution, company, or entity shall be bound by all the rules and provisions mentioned in Salla platform's user agreement.
All stores and merchants are required to comply with all laws applicable to regulate online trade, as well as comply with the Anti-Cybercrime Law, the regulations of the Ministry of Commerce and Investment, the Electronic Transactions Law, and the E-Commerce Law.
All stores and merchants must commit to disclosing the following data in the online store: name and address - commercial registration or freelance document - official means of communication.
All stores and merchants must clarify to the consumer the terms and conditions, privacy policy, and confidentiality of information, which are in the nature of an electronic contract.
All stores and merchants must provide an invoice to the consumer showing the costs of purchasing the service or product, the total price, date and place of delivery, and the exchange and return policy.
All stores and merchants offering specific products or services that require a license from the official authorities must disclose the license and all its details.
All stores and merchants holding a commercial registration for their shop must link the electronic store with the commercial registration of the enterprise in accordance with regulations.
The merchant acknowledges that before registering on Salla online platform, they have verified the availability of all procedures and requirements demanded by the official authorities in the Kingdom of Saudi Arabia and have fulfilled all these procedures and requirements to practice their activity in the store.
All stores wishing to register on Salla platform and engage in e-commerce on the platform must have an active commercial registration or a freelance document, in addition to meeting other standard requirements and obtaining the necessary licenses related to merchants practicing their commercial activities in their online stores, such as an Absher account, a bank account with one of the Saudi banks, and a Saudi mobile number.
If the merchant applying to join and establish a store is an individual merchant "natural person", they also commit to verifying the requirements of the official authorities and providing them according to the nature of the individual merchant's activity. The individual merchant acknowledges that they are bound by these requirements, and committed to providing and preparing them. The individual merchant also commits to providing national identity data in addition to freelance document details and other necessary information and documents requested by Salla platform.
If the merchant applying to join and establish their store represents a commercial establishment, company, charity, or legal entity, they must provide Salla platform with all information and supporting documents, such as the commercial registration and any other store documents requested by Salla platform for registration and to prove the store's legal persona.
The store and merchant must comply with the registration obligations specified in "Article Five – Accounts and Registration Obligations" and all rules and provisions of the user agreement.
In case of non-compliance with any of the above, Salla platform management has the right to take any of the following actions, including but not limited to: warning, suspending the service and closing the store, or blocking you from accessing Salla platform services again as it deems appropriate, although Salla platform is not legally or Sharia-wise responsible for this breach by the merchant towards the consumer, as it is not a party to the relationship between the consumer and the merchant, but does so to improve the quality of Salla platform and the merchants present on the platform.
Article Five – Accounts and Registration Obligations:
Upon applying to join Salla platform membership or requesting the creation of an online store, you are required to disclose specific information and choose a username and private password to use when logging in to Salla platform services. After activating your account, you will become a user of Salla platform services, and thereby you agree to:
Be responsible for maintaining the confidentiality of your account information and password, and thereby agree to notify Salla platform immediately of any unauthorized use of your account information with Salla platform or any other breach of your confidential information.
Salla platform will not under any circumstances be responsible for any loss that may be incurred by you directly or indirectly, morally or materially, as a result of exposing username or login password info, or in case of store misuse.
You commit to using your online store yourself, being fully responsible for it. If anyone else uses it, this means you have authorized them to use the store in your name and on your account, unless the store informs Salla management in writing to the contrary.
You commit not to use the invitation coupon and affiliate marketing link together in the same registration process or when creating a new store. You must choose either to use the invitation coupon or the affiliate marketing link only for each invitation or registration of a new store. In case they are combined, the earned rewards, commission, or points will be cancelled.
You commit when using Salla platform to use it with utmost seriousness and credibility, and to comply with the rules and provisions of the user agreement, and the regulatory and legal controls applicable in the Kingdom of Saudi Arabia. You are committed to compensating Salla platform for any direct or indirect losses Salla platform may incur as a result of any illegal, unreal, or unauthorized use of your account by you or by any other person who obtained the access keys to your account on the platform, whether to complete services using the username and password or as a result of your negligence in maintaining the confidentiality of the username and password, whether authorized by you or unauthorized.
You commit to disclosing true, correct, updated, complete, and legal information about yourself as required during registration with Salla platform.
You commit to updating your personal data on the platform in case it changes in reality, or when needed.
You commit not to include in the username any of your contact details such as email addresses, phone numbers, any personal details, or any phrase indicating a personal or commercial relationship between you and Salla platform, its employees, or its owners.
You commit not to display in your store anything indicating any direct or indirect relationship between the store and Salla platform, its management, owners, or employees, since Salla platform has nothing to do with what you do in your store and is not responsible for your store's activity.
Salla platform commits to handling your personal information and contact addresses confidentially in accordance with the provisions of the privacy policy and confidentiality of information applicable at Salla platform.
You are obliged to maintain the registration data and update it regularly to keep it true, correct, current, complete, and lawful. If you disclose information that is untrue, incorrect, not current, incomplete, unlawful, or contrary to what is stated in the user agreement, Salla platform has the right to suspend, freeze, or cancel your membership, store, and account on the platform, without prejudice to Salla platform's other rights and legitimate means to recover its rights and protect other users.
Salla platform has the right at any time to conduct any investigations it deems necessary, whether directly or through a third party, and demand that you disclose any additional information or documents of any size to prove your identity, ownership of your funds, or your account.
In case of non-compliance with any of the above, Salla platform management has the right to suspend or cancel your store or membership or block you from accessing Salla platform services again. It also reserves the right to cancel any unconfirmed or unproven accounts, transactions, or accounts that have been inactive for a long time.
Article Six – Electronic Communications and Official Means of Communication:
The merchant on Salla platform agrees to be contacted via email, or by Salla platform management broadcasting general messages to all users or specific users upon logging into their accounts within Salla platform. The merchant on Salla platform also agrees that all agreements, announcements, disclosures, and other communications provided electronically take the place of written counterparts, which are a self-standing argument in meeting legal requirements.
Salla platform, during your membership and trade period on the platform, will send promotional emails to inform you of any changes, procedures, or new promotional activities that may be added to Salla platform.
Article Seven – Modifications to the User Agreement and Fees:
You understand and agree that Salla platform will inform you of any amendment to this agreement, whereby your obligations may increase or your rights may decrease according to any amendments that may be made to this user agreement.
You agree that Salla platform, with absolute authority and without bearing legal liability, can make any essential or minor modifications to this agreement. Users are informed of this modification by any available technical means, which may be via email or by broadcasting a general message to all users. Salla platform provides technical means to show the store's acceptance of this modification, and this acceptance is legal, informative, and binding for the store to the provisions of the agreement including its amendments.
In case of objection to any modification to the user agreement, this might be an obstacle to accessing the store. To benefit from Salla platform services, you must agree to this agreement and any modification made to it. Therefore, in case of not accepting the modification, Salla platform hopes you stop using its services, as your mere login to your account on Salla platform or your use of Salla platform constitutes your acceptance of the amendments and complete, final, and absolute approval. Salla platform is pleased to answer your inquiries regarding this agreement and receive any suggestions the store deems fit.
All fees are calculated in Saudi Riyal. The merchant must pay all due fees on the platform added to any other expenses that Salla platform adds, provided payment is made through the approved, specified, and available means via Salla platform.
Not all packages and offers of Salla platform are free for merchants or stores, as some of these packages and offers are subject to various fees.
Salla platform may impose fees on merchants or stores, depending on the offers or packages they join, or the shipping policies they use.
Salla platform reserves the right to add, increase, lower, or discount any fees or expenses under the rules and provisions of the user agreement, on any users regardless of their reason for registration.
Article Eight – Payment and Settlement Services for Stores in Salla Platform:
Salla platform provides through its partners the payment and settlement system in Salla platform which can be done fully online through the payment options available on Salla platform or through any payment method provided by Salla platform from time to time.
Salla platform has no relation to the cash on delivery payment method; this payment method is subject to the relationship between the consumer, merchant, and the service provider.
Salla platform may stipulate at any time and under any circumstances that payment transactions takes place directly between the merchant and consumer via their bank accounts, and Salla platform will have no relation then.
Salla platform providing the online payment service through the platform is for the purpose of facilitation and preserving the rights of merchants and stores.
The merchant commits to setting the price of the service or product displayed in their store according to the recognized market value. Salla platform has no relation whatsoever to the mispricing of products or services offered in the stores on Salla platform, as pricing them in a commercially recognized manner is an obligation resting entirely on the merchant.
The merchant commits to providing invoices, payment vouchers, and receipt vouchers for all amounts and profits arising in their store, and commits to clarifying in all these invoices the type of commodity or service, quantities, descriptions, and value. Accordingly, the merchant commits to providing the required accounting characteristics in their online store, in application of the provisions of this agreement and for the legal, economic, and commercial interests this تنظيم holds for merchants. In case the merchant violates the provisions of this clause, they are considered responsible for any damages that may arise as a result of this violation.
Salla platform has the right to prevent the completion of any payment transaction violating the rules and provisions of the user agreement or cancel any purchase or sale order due to a technical error on the platform that led to a difference in the displayed prices on the platform from the market value of the product, resulting in a loss for Salla platform, and Salla platform is not responsible for those amounts.
Salla platform management has the right to cancel, modify, or change any of the payment methods made available on Salla platform.
Article Nine – Your Personal Information and Transaction Details Information:
You do not object to granting Salla platform an unlimited, global, permanent, irrevocable, charge-free, licensed right to use personal information, materials, or others that you provided to the platform or announced on the platform through your joining or establishing your store, through the designated communication and registration forms, or through any emails or any available communication channels on the platform, with the aim of achieving any interests the platform deems appropriate.
You are solely responsible for the information you sent or published, and Salla platform's role is restricted to allowing you to display this information through Salla platform and its advertising channels.
The confidentiality of stores' and merchants' information is subject to the rules of Salla platform's "Privacy Policy and Confidentiality of Information".
Article Ten – The Merchant's Commitment to Comply with Laws and Regulations in the Kingdom of Saudi Arabia:
The merchant commits to complying with all laws and regulations in force within the Kingdom of Saudi Arabia regarding their products and/or during their use of Salla platform, and the applicable laws, terms, and conditions governing the use of the internet space, the user agreement, the privacy policy, and confidentiality of information applicable at Salla platform.
In case any of the merchants violate what is stated in the first clause of Article Ten, they acknowledge Salla platform's right to take any of the following actions, including but not limited to: warning, suspending the service and closing the store, and returning any pending amounts in electronic payments to consumers.
Article Eleven – Rights:
All content present on Salla platform, whether electronic or otherwise, written or unwritten, including but not limited to: written and unwritten texts - graphic designs - technical ideas - logos - offers - button icons - symbols - audio clips - aggregated data and software, is the property of Salla platform and its rights are reserved for Salla platform. No person has the right to use them in any way, whether directly, indirectly, or through a third party.
Salla platform management notes that it will take the necessary action regarding any transgression and violation of any Salla platform rights or intellectual property.
Salla platform does not bear responsibility in case of infringement of intellectual property rights owned by merchant members of the platform or stores registered with it.
Article Twelve – Intellectual Property:
Salla platform management respects the intellectual property rights of merchants which they created through their stores, whether owned by them before or after establishing the store.
The merchant respects Salla platform's intellectual property rights, including Salla platform itself, words, logos, and other symbols of Salla platform or displayed on Salla platform. Salla platform, and every right belonging to Salla platform, are rights protected by intellectual property rights and trademark laws, and are the exclusive property of Salla platform, and it is under no circumstances allowed to violate them or use them without authorization from Salla platform management.
Article Thirteen – The Consumer:
Out of Salla platform's concern for consumers' rights, and to achieve one of Salla platform's most important goals in providing high-quality service to all parties, Salla platform clarifies the following:
During purchasing transactions, the consumer provides Salla platform with the following information, including but not limited to: name - email - phone.
Salla platform's technical systems keep consumers' data with the aim of facilitating their access to the platform and completion of purchasing operations they wish for.
If the consumer purchased an item via one of the payment methods available on Salla platform and did not receive their item or received an item that differs from the specifications displayed on the store page, the consumer then has the right to report to Salla platform, and Salla platform has the right to take what it deems appropriate against the store that violated the rules of this agreement, according to its rules. However, Salla platform is not legally or Sharia-wise responsible for this breach by the merchant towards the consumer, as it is not a party to the relationship between the consumer and the merchant, but does so to improve the quality of Salla platform and the merchants present on the platform.
The consumer has the right to review their purchases before receiving them to ensure they are sound and matching what was purchased, as Salla platform is not responsible for the relationship between the consumer and merchant.
The consumer acknowledges thoroughly that they browse the online store out of their personal desire and purchase from the online store based on their personal responsibility.
The consumer understands and realizes that the online store has an independent legal persona separate from Salla platform, as all online stores registered on Salla platform have their own electronic commercial registration or freelance document belonging to the practitioner of e-commerce.
Salla platform does not commit at all under this article and clause to react to the consumer's complaint, but the platform's reaction to the consumer's complaint is subject to the sole desire of Salla platform and what it deems appropriate according to the rules of this agreement, and in a way that preserves its interests and its commercial and economic reputation. In any case, Salla platform may take some measures against stores that deliberately deceive, mislead, or cheat the consumer, such as: freezing the store's membership, alerting the store not to repeat this, or forcing the store to compensate the consumer, out of Salla platform's desire to preserve and protect the rights of all users and registered members with it.
Article Fourteen – Liability of Salla Platform before the Consumer and Merchant:
Salla platform is not responsible in any way for any unsatisfactory or delayed performance by stores, shipping companies, electronic payment gateways, banks, or consumers' failure to pay, nor for any losses, malfunctions, or delays due to unavailable goods, delayed delivery, or poor service quality provided by stores.
Salla platform does not bear any claims arising from errors or negligence, whether caused directly, indirectly, accidentally, or through a third party.
Salla platform does not bear any claims or liabilities arising from financial losses, defamation, libel, or any damages arising as a result of misuse, abuse, or inability to use Salla platform. Salla platform does not bear any responsibilities or claims in such cases.
Salla platform, its officials, employees, or owners are not responsible for any claim, dispute, costs, damages, or any direct or indirect liability or loss to any party arising from an action done by one of the platform users.
Salla platform, its employees, owners, and representatives have no relation to any liability regarding a sound, legal, and authorized product according to the laws and regulations of the Kingdom of Saudi Arabia that is used for illegal and irregular purposes, and no person or entity has the right to claim against Salla platform with any lawsuit, claim, or compensation regarding the mentioned misuse, as all products or services provided on Salla electronic platform are offered through merchants and their stores.
Salla platform, its employees, owners, and representatives have no relation to any illegal or unauthorized activity conducted by the store, or any activity that violates the regulations and instructions in force in the Kingdom of Saudi Arabia, as Salla platform's responsibility is restricted only to providing electronic support tools represented in establishing the online store and the subsequent electronic support services.
Salla platform management warns all merchants that in case it notices any suspicious activities planned, being committed, or committed on Salla platform, it will report these activities to the competent authorities, and it is under no circumstances responsible for these violations that take place without Salla platform's knowledge or notice.
Article Fifteen – Confidentiality of Information:
Salla platform informs you that the World Wide Web (internet space) is not a secure medium, and the confidentiality of personal information cannot be 100% guaranteed in the internet space.
Salla platform adopts high-quality standards (physical, organizational, and technological) to protect users and consumers and prevent unauthorized access to users' personal information or their stores, and save it.
Salla platform has no control over the actions of any third party, or others, such as other web pages connected via links to the platform or third parties claiming to represent you and others.
You understand and agree that Salla platform may use your information that you provided to offer services to you on Salla platform, and to send marketing messages to you. Salla platform's privacy policy regulates the collection, processing, use, and transfer of your personal identity information. Confidentiality rules are subject to "Privacy Policy and Confidentiality of Information - Link to be placed" of Salla platform.
Article Sixteen – Exchange and Return Policy:
The validity period of user accounts and purchased branches is the same as the subscription validity period. When purchasing a user account or branch, the cost of the account will be calculated according to the remaining duration of the package subscription.
The validity period of purchased messages for the store is one year from the purchase date.
Subscription can be temporarily paused in packages (Salla Plus and Salla Pro) for a maximum of 30 days without fees, provided the number of pauses does not exceed twice a year.
Upon canceling one of the paid packages' subscriptions, you can continue to use the package and benefit from its advantages until the subscription expiry date.
In case of canceling any package for the first time, bank account transfer fees of 8.05 SAR including tax will be calculated, in addition to any other fees imposed to achieve this.
In case of withdrawing balance from the wallet, bank account transfer fees of 8.05 SAR including tax will be calculated, in addition to any other fees imposed to achieve this.
You have the right to submit a request to withdraw your store wallet balance once a day, provided the withdrawal amount does not exceed (5000) five thousand Saudi Riyals per day. In case of exceeding this limit, you can resubmit a new request the following day. The requested amounts are transferred to your bank account once a week.
Reasonable efforts are made to transfer the due amounts on time, without Salla platform bearing any responsibility for any delays that may arise due to internal procedures, such as doubts related to identity verification or open complaints against the store, or banking procedures like an error in the registered bank account information, or any other circumstances beyond Salla platform's control.Loyalty points balance cannot be withdrawn to your personal account. You can use loyalty points to renew packages.
The maturity date for loyalty points is 14 days after the second merchant uses the coupon.
Store design templates cannot be canceled or exchanged.
The merchant has the right at any time to cancel subscription or automatic renewal of "Employees - Branches" services without refunding any prepaid amounts for the mentioned services.
Paid packages will automatically renew upon availability of an added credit card or available balance in the wallet.
When activating the automatic subscription renewal option in the store package or one of Salla's services or applications, the balance will be automatically withdrawn immediately upon issuance of the new non-refundable subscription invoice.
In case the subscription expires and the package is not renewed, the store will be automatically downgraded to the (Basic) package settings.
When subscribing to the Pro package, you can use it and benefit from its advantages until the Pro package subscription expiry date before you can downgrade the subscription to the Plus package.
When subscribing to Salla packages using payment methods available on the app in iOS, the subscription fees are subject to Apple's costs and terms, and Salla platform has no authority over these costs and terms.
Article Seventeen – Cancellation of Consumers' or Online Store's Membership:
Salla platform, according to the user agreement and in accordance with the laws and regulations in force in the Kingdom of Saudi Arabia, may temporarily or permanently suspend the store, withdraw and cancel the membership of the merchant or consumers, or limit merchants' capabilities to access Salla platform services, in case of:
Violation of the rules and provisions of the user agreement.
Verbal or written abuse, assault, or threat by any means, directly or indirectly, whether coming from the merchant, their online store employees, or any of the consumers, towards Salla platform, any of its partners, employees, or representatives.
If Salla platform cannot verify any user information provided to it.
If Salla platform decides that the user's activities violate the law or that the user's activities may cause other users or Salla platform trouble or legal violations.
Salla platform, "based on its assessment", may restore suspended users' activities, as a user whose activity was permanently suspended or whose membership was canceled may not register, restore their account on Salla platform, or use the platform in any way regardless of the circumstances, unless allowed to restore activity by Salla platform management. However, in case the user violates this user agreement, Salla platform reserves its right to recover or demand any due amounts to Salla platform from the user and any losses or damages caused by the merchant to Salla platform. Salla platform also has the right to take legal action or appeal to judicial authorities in the Kingdom of Saudi Arabia against the user as Salla platform deems appropriate.
Salla platform does not waive its right to take appropriate action regarding any violation occurring to the rules and provisions of the user agreement and other similar violation acts. Likewise, Salla platform is not committed to taking action against any violation made to the user agreement, but this is subject to the discretion of Salla platform management and its legal department.
Article Eighteen – Requesting Store Closure:
The merchant has the right to request the closure of their registered store in Salla platform's database. When submitting the request, they must provide some documents, including but not limited to: the closure request signed by the store's legal representative and stamped by official authorities.
Salla platform reserves the right to accept or reject the closure request, and demand any rights or financial dues owed by the store.
Without prejudice to the provisions of the clauses in Article Sixteen of this agreement, if the merchant submits a request to close their store, they will not be eligible for a refund of any active subscription amounts.
Article Nineteen – Payment, Sale, and Purchase Operations:
The merchant commits to managing their store well, preserving consumer rights, and not causing disputes between them and the consumer.
The merchant commits to managing payment, sale, and purchase operations taking place in their store via the payment methods specified in this agreement.
Salla platform has the right to reject, cancel, or suspend purchase operations, whether payment was made or not.
Salla platform warns that it has no relation to any dispute that may arise between the consumer and merchant, and has no relation to any default from the consumer towards the store, whether by failing to pay or otherwise.
The merchant agrees and acknowledges that they will not perform unreal or manipulative purchase transactions on Salla platform, will not use an unreal name or any unreal personal details, or use a credit card not belonging to them without authorized purchase, as Salla platform has the right to take appropriate legal action against anyone performing fraudulent transactions of this kind.
All merchants and online stores acknowledge thoroughly that Salla platform management, in transferring money for their commercial activities within Salla platform, is subject to the authority and powers of the Saudi Central Bank, and as a result Salla platform warns all stores and merchants that it may delay transferring some funds due to restrictions of the Central Bank, Ministry of Commerce and Investment, and electronic trade regulations imposed on electronic buying and selling operations.
Salla platform reserves its right to impose any fees on merchants or stores as a result of their operations within Salla platform, and fees could be, for example: government fees, bank fees, administrative fees, or any other fees requested from Salla platform to pay due to the merchant's or store's activity.
Article Twenty - Non-permissible Contents and Products:
As a merchant on Salla platform, you commit not to allow advertising or publishing through your store any content that violates the privacy policy and confidentiality of information, or violates the rules and provisions of this user agreement or the regulations in force in the Kingdom of Saudi Arabia.
Salla platform strictly forbids selling the following products and services, including but not limited to: any product/service containing gambling, mystery boxes or random products, any product/service that may lead to physical or psychological harm of any kind, any pirated content or subscriptions and everything that violates intellectual property and copyright, any sexual or pornographic product/service or anything promoting that.
Article Twenty-One - Saudi Anti-Cybercrime Law:
Merchants and users commit not to violate any provisions of the Saudi Anti-Cybercrime Law. In case they violate its provisions, this is subject to their sole responsibility and management, and Salla platform bears no responsibility as a result of the store violating applicable regulations, as the merchant is fully responsible for their store and interaction with consumers. Salla platform always has the right to take what it deems appropriate regarding any store or merchant violating the provisions of the Saudi Anti-Cybercrime Law, whether by reporting to official authorities or closing the online store or canceling the merchant's membership with the platform.
Article Twenty-Two – Restricting Access or Membership:
Without prejudice to other merchants' rights, Salla platform can suspend or cancel the merchant's membership or restrict the merchant's access to platform services at any time, without warning, and for any reason, without limitation.
Article Twenty-Three – Warranty:
Salla platform does not warrant fixing technical failures nor guarantees that the products offered by merchants are free from other defects, but the store or merchant guarantees them in case the warranty and its duration are mentioned in the product description, and the merchant must commit to good quality in their online store.
Article Twenty-Four – Merchant Liability:
The merchant agrees to take responsibility and protect Salla platform, its employees, owners, or affiliates from any damage that may affect Salla platform due to the merchant's violations. They also commit to lifting or preventing any damage that may affect Salla platform, its employees, or any of them due to claims, losses, malfunctions, costs, expenses, or fees resulting from user misuse or merchant misuse, leading to a breach of the user agreement, applicable regulations and laws in the Kingdom of Saudi Arabia, infringement of another merchant's or third parties' rights, or a complaint from a user or third parties.
Article Twenty-Five – Relationship and Notices between Salla Platform and Merchants:
None of the rules and provisions of this user agreement indicate a partnership between any merchant and Salla platform. Salla platform does not allow any merchant under any circumstances to refer directly or indirectly or dictate the existence of a relationship of any kind, whether direct or indirect, between them as a merchant and Salla platform or its management. Any notices the merchant wishes to send to Salla platform must be sent via email, and Salla platform will reply to the email. You as a merchant agree that any notices sent to you by Salla platform will be delivered to you via the email you provided to Salla platform during registration.
Article Twenty-Six – Applicable Law and Legislation:
This user agreement is governed and drafted in accordance with the laws, systems, and legislations applicable and active in the Kingdom of Saudi Arabia, and is fully subject to the legislation active under authorities in the Kingdom of Saudi Arabia.
Article Twenty-Seven – Rules the Store Must Follow When Interacting with the Consumer:
The merchant commits when interacting with the consumer to commit to honesty, trust, and integrity.
The merchant commits when interacting with the consumer to commit to good ethics.
Article Twenty-Eight – Print and Digital Promotional Publications and Salla Platform Special Offers:
The rules and provisions of this user agreement apply to all print and digital promotional publications across various publishing platforms and social media networks.
Publications are subject to change and are not binding for Salla platform regarding the stability of services, packages, or offers prices. Price changes are subject to variables occurring to Salla platform, stores, or merchants.
Any offers placed by Salla platform are temporary and specified for a set duration. Salla platform is not committed to extending the duration or continuing with the set duration, as it has the right to suffice with or limit any user's eligibility for this offer, or cancel this offer at any time.

Article Twenty-Nine – Strategic and Logistic Services (Third-Party Services):
Under the rules and provisions of this user agreement, Salla platform may provide some strategic or logistic services through a third party or parties, which could be, for example: shipping companies and product delivery services.
Salla platform informs you that providing strategic or logistic services is only for facilitation and cooperation to help Salla platform users, and it is not committed to doing so.
Salla platform informs you that it is entirely not responsible, directly or indirectly, for any actions performed by any third party, and that what it does is merely a connection between the user and the service provider (third party/partner).
Salla platform informs you that requesting this service is not mandatory but depends on the desire and need of the user. When the merchant uses third-party services available on Salla platform, Salla platform disclaims its responsibility for this relationship, and this relationship will have its independent terms concluded between the merchant and the third party.
Some strategic and logistic service providers set their own terms or costs, and Salla platform has no authority over these terms or costs. Therefore, Salla platform advises its registered merchants to review the terms of the service provider (third party) and their service costs before confirming the service request.
If the user requests a service provided through a (third party), the user by this action authorizes Salla platform and grants it permission to provide the service provider (third party) with the user's personal data they require, and other details needed by the service provider (third party), in accordance with the privacy policy and confidentiality of information applicable on Salla platform.
Some services provided by (third party) on Salla platform are used by the merchant through bills issued by agreement between the service provider and Salla platform, so their use will be via Salla platform, and Salla platform may deduct some costs from them to execute the agreement between Salla platform and the service provider (third party). Salla platform bears no responsibility resulting from the service provider's failure to provide their services.
Some paid service providers set their own terms or costs, and Salla platform has no authority over these terms; your billing relationship will be directly with the concerned third party (e.g., subscribing to Salla packages via Apple App Store). Therefore, Salla platform advises its registered merchants to review the terms of the service provider (third party) and their service costs before confirming the service request.
Some international shipping services provided by (third party) via Salla platform can be utilized by the merchant through Salla's shipping gateway in accordance with an agreement concluded between Salla platform and the service provider. International shipping costs are passed to the merchant without any profit margin, and Salla platform deserves an independent commission for providing this service, subject to VAT. The merchant commits to paying the full cost of the international shipping service, including Salla platform's commission and due tax, according to prices set on the gateway which might be updated from time to time. Salla platform bears no responsibility towards any default by the service provider (third party) in providing shipping services.
Article Thirty – Technical Support:
Under the rules and provisions of this user agreement, Salla platform provides some technical support services for stores and merchants, in accordance with the advantages of the package the store subscribes to, such as:
A free control panel for stores, including some free services within the control panel.
In case the merchant wants to add some services, different services, or multiple services, this is subject to Salla platform packages and offers policy which is mostly subject to fees.
Salla platform allows stores to communicate with Salla's technical support team to assist store operations through the platform and resolve electronic technical problems that may arise in stores.
Article Thirty-One – Dispute Resolution:
Under the rules and provisions of this user agreement, in case of dispute, the conflict is resolved via reconciliation, negotiations, or amicable settlement. In case the dispute continues, it will be resolved through the competent authorities in the Kingdom of Saudi Arabia.
Article Thirty-Two – Policy for Receiving Consumer Complaints and Settling Disputes between Consumer and Store:
Salla platform hopes that in case of a complaint between a consumer and a store, the following steps are followed:
Step One: Submit a complaint via the designated link on Salla platform, provided the complaint includes: complaint text, supporting documents, and the name of the violating store. Salla platform will then refer the complaint to the concerned store to resolve it.
Step Two: The consumer has the right to take what they deem appropriate after reviewing the store's response to the complaint. In case the consumer is not satisfied with the store's response, they have the right to request a copy of the store’s legal identity to take the necessary measures against the store.
Article Thirty-Three – General Provisions:
In case of cancellation of any article or clause in this user agreement, or if any article or clause in the user agreement is no longer active, this does not cancel the validity of other articles, clauses, rules, and provisions in the user agreement, which remain active until further notice from Salla platform management.
This user agreement – which is amended from time to time as required – represents the mechanism of work, understanding, agreement, and contract between the merchant, their store, and Salla platform only. The merchant and store commit to complying with the provisions of this agreement; the merchant also agrees to and acknowledges the following:
This user agreement applies to all Salla platform users, regulates the relationship, and represents the contract between the merchant and Salla platform only, regardless of any legal form, entity, corporate, commercial, or charity form the merchant or store takes. As for the relationship between the merchant and consumer, it is subject to an independent legal relationship with its own rules in place between them.
The merchant who joins Salla platform through (Salla Partners) thereby grants the success partner through whom they registered the right to view the merchant's and store's information.
No person – except Salla platform management or judicial authorities in the Kingdom of Saudi Arabia – has the right to impose any articles, clauses, or modifications on Salla platform's user agreement.
If the user agreement is translated into another language, whether on Salla platform or otherwise, the Arabic text of the user agreement remains the origin in all dealings.
In case of modifying this user agreement, all merchants and users will be notified, and their continuation in using the platform is considered an acceptance of any modifications to this agreement.
This user agreement cannot be canceled or modified except by a decision issued by Salla platform management.
Policy for Package Subscriptions, Trial Period, and Refunds
Article One: Free Trial
1.1. Trial Duration: Salla grants new merchants a free trial period of (14) days on paid packages, starting from the package activation date, with the aim of enabling the merchant to fully explore the advantages and features of the package before committing to the subscription.
1.2. Activation Requirements: Activating the free trial requires the merchant to link an approved electronic payment method (credit card or Mada card) with their account on Salla platform. The merchant bears the responsibility of ensuring the correctness and validity of the payment method.
1.3. Automatic Renewal: Under these terms, the merchant explicitly agrees to authorize Salla to automatically deduct the package subscription value upon the expiry of the free trial period (on the fifteenth day), unless the merchant manually cancels the automatic renewal via the control panel before the deduction date without any additional fees being imposed.
1.4. Fair Use Policy: In case the merchant has more than one store registered in Salla with the same ID or contact details (ID number, mobile number, email), the eligibility for the free trial is subject to the following conditions:
A. Salla has the right to verify the record of complaints and claims associated with all of the merchant's stores.
B. Total unresolved or open complaints across all of their stores must not exceed (10) complaints. In case of exceeding this limit, the merchant is not eligible to benefit from the free trial.
Article Two: Subscription Cancellation and Fees Refund
2.1. Refund Conditions: Exceptionally, the merchant has the right to request a refund of the amount paid for their first subscription to paid packages, in accordance with the following combined conditions:
A. This must be the first subscription for the merchant in Salla.
B. The request must be for the first store created in their account.
C. The refund request must be submitted within a period not exceeding (7) days from the date of the first subscription fees deduction (after the end of the free trial).
2.2. Requests Not Fulfilling Conditions: Any refund request that does not fulfill the conditions mentioned in Article (2.1) will be automatically rejected, with the merchant being notified of the reasons for rejection.
Article Three: Control and Review
3.1. Automated Verification: All cancellation and refund requests are subject to automated verification via the compliance system in Salla to ensure the applicability of the conditions mentioned in this policy.
3.2. Manual Review: In case the system detects any suspicion of abuse (such as multiple accounts or suspicious business patterns), the request will be suspended and the merchant notified of the need for a manual review by the specialized team.
3.3. Holding Funds: Salla has the right to hold refunded amounts for up to (15) working days from the date of approving the refund request to ensure there are no open financial claims or complaints from third parties (customers, payment gateways, shipping companies) against the store.
Article Four: Anti-Fraud and Abuse
4.1. Creating multiple accounts with different data to bypass the system to obtain repeated trial periods or illegally exploit the refund policy is strictly prohibited. This action is considered a fundamental violation of Salla platform use provisions.
4.2. In case a violation is proven, Salla has the right to take the necessary measures, including suspending or closing the associated accounts, holding the violated amounts, and deducting any owed amounts to it or compensation for direct damages resulting from that violation, without prejudice to its right to claim any other rights approved by the applicable regulations in the Kingdom of Saudi Arabia.

Introduction:
Salla platform, owned by Salla Application for Information Technology Company, registered with the Ministry of Commerce in the Kingdom of Saudi Arabia under commercial registration number: 7011845513, welcomes you, and informs you that you will find below the terms and conditions governing your use of the Salla platform and all legal effects resulting from your use of the Salla platform services on the World Wide Web, as any person's use of the Salla platform, whether as a consumer, merchant, or otherwise, constitutes consent and acceptance, with full legal capacity recognized by Sharia and law, of all articles, terms, and provisions of this agreement and is a confirmation of your commitment to its systems and what is mentioned therein. We point out to you that the Salla platform may be an (electronic website, a corporate application on mobile phones, or an electronic platform), and this agreement is considered valid and effective as soon as you agree to it and begin registering on the Salla platform.
Article One – Introduction and Definitions:
The introduction above is considered an integral part of this agreement. Below, you will also find the definitions and terms of the key phrases used in this agreement:
( Salla Platform owned by Salla Holding Company ) means Salla Application for Information Technology Company, and this definition includes all forms of Salla Application for Information Technology Company on the World Wide Web, whether it is an electronic application or an online website.
( The Merchant ) means every merchant register on Salla platform to establish their online store, whether a natural or legal person, and this definition includes all aspects of the store as long as they conduct commerce through Salla platform, including the merchant's website.
( The Store ) means the store used by the merchant on Salla electronic platform.
( The Consumer ) means every consumer who purchases the product or service from the merchant through the merchant's online store established via Salla platform.
( The Agreement ) means the rules, terms, and conditions of using Salla electronic platform, i.e., all terms and conditions of this agreement which govern and regulate the relationship between the parties to this agreement.
( Service Provider ) means the services that Salla platform provides to merchants through third parties, and providing services means merely providing the connection between the merchant and the service provider, as Salla platform has no authority over or relation to the agreement concluded between the merchant and the service provider.
Article Two – The Merchant's Legal Capacity:
The merchant acknowledges that they have full legal capacity recognized by Sharia and law, and that they are not less than eighteen years old, as considered in the applicable laws and regulations in the Kingdom of Saudi Arabia, and that they have sufficient knowledge to create, establish, and manage their online store through Salla platform.
As an exception to what is stated in the first clause (1) of Article Two (2), the merchant may practice commerce if they are under the legal age of majority in the Kingdom of Saudi Arabia (eighteen years), provided that they commit to providing proof of their guardian's approval to establish the online store, such as a guardianship deed or a signed consent notification by Sharia legal guardian if required.
The merchant acknowledges that they have sound capacity and are not affected by any of the legal capacity impediments.
If the merchant registers as an institution, company, or any other legal form, this institution, company, or the registered legal form must possess the required legal and Sharia capacity to conduct business activities through Salla electronic platform.
The merchant agrees that in case of violating this article "The Merchant's Legal Capacity", they bear the consequences of this violation before consumers, users, or third parties, as Salla platform has no relation to the merchant's transactions with the consumer or third parties legally and contractually. Salla platform also has the right in this case to hold the merchant accountable under contractual liability and demand compensation for damages that may arise as a result of this violation, including damages to the reputation of Salla platform before other merchants, consumers, users, or third parties.
Article Three – Nature of Salla Platform's Obligation:
The mission of Salla platform is merely to provide electronic support tools by establishing the store, as Salla platform's obligation under this agreement is only to create the merchant's online store on Salla electronic platform and display the store to users.
Salla platform may provide other services to the merchant or the store, such as marketing support services or guidance and instruction services. It may also provide electronic payment gateways across the internet. All services of Salla platform are subject to the articles and terms of this user agreement.
Salla platform is not committed to completing sales transactions of products or services between the consumer and the store, as its obligation ends with providing the online store creation services through Salla platform. This does not affect other services that Salla platform continues to offer, such as guidance, technical support, marketing, and payment methods.
Salla platform may temporarily provide some free services for some stores, such as allowing the merchant to: modify and change the appearance, design, or colors of the store based on their desire. These services are provided by the Salla platform management for free and are limited and subject to specific restrictions. If the merchant wishes to get additional services, they must contact Salla platform technical support to inquire about offers, package fees, and extra services.
All transactions that take place between the merchant and the consumer have no relation to Salla platform itself, and Salla platform is not responsible for them, as this transaction is an independent contractual relationship subject to the agreement concluded between the merchant and the consumer. Accordingly, if the consumer fails to pay the price of the service or product provided by the merchant, Salla platform has no relation to these violations.
All transactions that take place between the merchant and service providers (third-party services) for which Salla platform provides integration or displays their services for the benefit of the merchant and consumer have no relation to Salla platform. This transaction is an independent contractual relationship from Salla platform and is subject to the agreement concluded between the merchant and the service provider. Accordingly, if one of the parties defaults, refrains, or fails to fulfill their agreed-upon obligations or does not execute them as required, Salla platform is not responsible for the results of these actions. Salla platform is not liable for any violations that occur or are committed between the merchant and the service provider.
You understand that Salla platform is considered an online technical platform that allows merchants who agree to this agreement to establish their online store and practice their activity through the store, and its mission ends at this point. There is no liability whatsoever on Salla platform regarding violations committed by the merchant in their store in violation of the provisions of this agreement, and Salla platform has no relation to the transactions between the merchant and the consumer.
Article Four – Rules for Creating an Online Store:
Any person who has the legally and Sharia recognized capacity may establish their store according to the rules and provisions of the terms of use agreement, particularly "Article One – The Merchant's Legal Capacity".
The store established according to Salla platform user agreement must not be in violation of the regulations and laws in the Kingdom of Saudi Arabia. The merchant is committed to clarifying the nature of business they conduct via e-commerce, and the nature of services or products they provide or sell. Salla platform disclaims its responsibility for the store's violation of the regulations of the Kingdom of Saudi Arabia and public morals, and Salla platform always reserves the right to refuse the registration of any online store that does not comply with the laws and regulations in force in the Kingdom of Saudi Arabia or the provisions of this agreement. Consequently, the merchant acknowledges under the provisions of the agreement that their store does not violate public policy in the Kingdom of Saudi Arabia or Islamic morals.
The online store established through Salla platform must not violate the rules and provisions of this user agreement. The merchant also acknowledges that the subject matter of dealings in the store does not violate this agreement or the laws and systems applicable in the Kingdom of Saudi Arabia.
No person has the right to use Salla platform as a merchant if their membership or store has been cancelled by Salla platform or pursuant to judicial orders or judgments.
If any merchant registers as an institution, company, charity, or legal entity, the registered institution, company, or entity shall be bound by all the rules and provisions mentioned in Salla platform's user agreement.
All stores and merchants are required to comply with all laws applicable to regulate online trade, as well as comply with the Anti-Cybercrime Law, the regulations of the Ministry of Commerce and Investment, the Electronic Transactions Law, and the E-Commerce Law.
All stores and merchants must commit to disclosing the following data in the online store: name and address - commercial registration or freelance document - official means of communication.
All stores and merchants must clarify to the consumer the terms and conditions, privacy policy, and confidentiality of information, which are in the nature of an electronic contract.
All stores and merchants must provide an invoice to the consumer showing the costs of purchasing the service or product, the total price, date and place of delivery, and the exchange and return policy.
All stores and merchants offering specific products or services that require a license from the official authorities must disclose the license and all its details.
All stores and merchants holding a commercial registration for their shop must link the electronic store with the commercial registration of the enterprise in accordance with regulations.
The merchant acknowledges that before registering on Salla online platform, they have verified the availability of all procedures and requirements demanded by the official authorities in the Kingdom of Saudi Arabia and have fulfilled all these procedures and requirements to practice their activity in the store.
All stores wishing to register on Salla platform and engage in e-commerce on the platform must have an active commercial registration or a freelance document, in addition to meeting other standard requirements and obtaining the necessary licenses related to merchants practicing their commercial activities in their online stores, such as an Absher account, a bank account with one of the Saudi banks, and a Saudi mobile number.
If the merchant applying to join and establish a store is an individual merchant "natural person", they also commit to verifying the requirements of the official authorities and providing them according to the nature of the individual merchant's activity. The individual merchant acknowledges that they are bound by these requirements, and committed to providing and preparing them. The individual merchant also commits to providing national identity data in addition to freelance document details and other necessary information and documents requested by Salla platform.
If the merchant applying to join and establish their store represents a commercial establishment, company, charity, or legal entity, they must provide Salla platform with all information and supporting documents, such as the commercial registration and any other store documents requested by Salla platform for registration and to prove the store's legal persona.
The store and merchant must comply with the registration obligations specified in "Article Five – Accounts and Registration Obligations" and all rules and provisions of the user agreement.
In case of non-compliance with any of the above, Salla platform management has the right to take any of the following actions, including but not limited to: warning, suspending the service and closing the store, or blocking you from accessing Salla platform services again as it deems appropriate, although Salla platform is not legally or Sharia-wise responsible for this breach by the merchant towards the consumer, as it is not a party to the relationship between the consumer and the merchant, but does so to improve the quality of Salla platform and the merchants present on the platform.
Article Five – Accounts and Registration Obligations:
Upon applying to join Salla platform membership or requesting the creation of an online store, you are required to disclose specific information and choose a username and private password to use when logging in to Salla platform services. After activating your account, you will become a user of Salla platform services, and thereby you agree to:
Be responsible for maintaining the confidentiality of your account information and password, and thereby agree to notify Salla platform immediately of any unauthorized use of your account information with Salla platform or any other breach of your confidential information.
Salla platform will not under any circumstances be responsible for any loss that may be incurred by you directly or indirectly, morally or materially, as a result of exposing username or login password info, or in case of store misuse.
You commit to using your online store yourself, being fully responsible for it. If anyone else uses it, this means you have authorized them to use the store in your name and on your account, unless the store informs Salla management in writing to the contrary.
You commit not to use the invitation coupon and affiliate marketing link together in the same registration process or when creating a new store. You must choose either to use the invitation coupon or the affiliate marketing link only for each invitation or registration of a new store. In case they are combined, the earned rewards, commission, or points will be cancelled.
You commit when using Salla platform to use it with utmost seriousness and credibility, and to comply with the rules and provisions of the user agreement, and the regulatory and legal controls applicable in the Kingdom of Saudi Arabia. You are committed to compensating Salla platform for any direct or indirect losses Salla platform may incur as a result of any illegal, unreal, or unauthorized use of your account by you or by any other person who obtained the access keys to your account on the platform, whether to complete services using the username and password or as a result of your negligence in maintaining the confidentiality of the username and password, whether authorized by you or unauthorized.
You commit to disclosing true, correct, updated, complete, and legal information about yourself as required during registration with Salla platform.
You commit to updating your personal data on the platform in case it changes in reality, or when needed.
You commit not to include in the username any of your contact details such as email addresses, phone numbers, any personal details, or any phrase indicating a personal or commercial relationship between you and Salla platform, its employees, or its owners.
You commit not to display in your store anything indicating any direct or indirect relationship between the store and Salla platform, its management, owners, or employees, since Salla platform has nothing to do with what you do in your store and is not responsible for your store's activity.
Salla platform commits to handling your personal information and contact addresses confidentially in accordance with the provisions of the privacy policy and confidentiality of information applicable at Salla platform.
You are obliged to maintain the registration data and update it regularly to keep it true, correct, current, complete, and lawful. If you disclose information that is untrue, incorrect, not current, incomplete, unlawful, or contrary to what is stated in the user agreement, Salla platform has the right to suspend, freeze, or cancel your membership, store, and account on the platform, without prejudice to Salla platform's other rights and legitimate means to recover its rights and protect other users.
Salla platform has the right at any time to conduct any investigations it deems necessary, whether directly or through a third party, and demand that you disclose any additional information or documents of any size to prove your identity, ownership of your funds, or your account.
In case of non-compliance with any of the above, Salla platform management has the right to suspend or cancel your store or membership or block you from accessing Salla platform services again. It also reserves the right to cancel any unconfirmed or unproven accounts, transactions, or accounts that have been inactive for a long time.
Article Six – Electronic Communications and Official Means of Communication:
The merchant on Salla platform agrees to be contacted via email, or by Salla platform management broadcasting general messages to all users or specific users upon logging into their accounts within Salla platform. The merchant on Salla platform also agrees that all agreements, announcements, disclosures, and other communications provided electronically take the place of written counterparts, which are a self-standing argument in meeting legal requirements.
Salla platform, during your membership and trade period on the platform, will send promotional emails to inform you of any changes, procedures, or new promotional activities that may be added to Salla platform.
Article Seven – Modifications to the User Agreement and Fees:
You understand and agree that Salla platform will inform you of any amendment to this agreement, whereby your obligations may increase or your rights may decrease according to any amendments that may be made to this user agreement.
You agree that Salla platform, with absolute authority and without bearing legal liability, can make any essential or minor modifications to this agreement. Users are informed of this modification by any available technical means, which may be via email or by broadcasting a general message to all users. Salla platform provides technical means to show the store's acceptance of this modification, and this acceptance is legal, informative, and binding for the store to the provisions of the agreement including its amendments.
In case of objection to any modification to the user agreement, this might be an obstacle to accessing the store. To benefit from Salla platform services, you must agree to this agreement and any modification made to it. Therefore, in case of not accepting the modification, Salla platform hopes you stop using its services, as your mere login to your account on Salla platform or your use of Salla platform constitutes your acceptance of the amendments and complete, final, and absolute approval. Salla platform is pleased to answer your inquiries regarding this agreement and receive any suggestions the store deems fit.
All fees are calculated in Saudi Riyal. The merchant must pay all due fees on the platform added to any other expenses that Salla platform adds, provided payment is made through the approved, specified, and available means via Salla platform.
Not all packages and offers of Salla platform are free for merchants or stores, as some of these packages and offers are subject to various fees.
Salla platform may impose fees on merchants or stores, depending on the offers or packages they join, or the shipping policies they use.
Salla platform reserves the right to add, increase, lower, or discount any fees or expenses under the rules and provisions of the user agreement, on any users regardless of their reason for registration.
Article Eight – Payment and Settlement Services for Stores in Salla Platform:
Salla platform provides through its partners the payment and settlement system in Salla platform which can be done fully online through the payment options available on Salla platform or through any payment method provided by Salla platform from time to time.
Salla platform has no relation to the cash on delivery payment method; this payment method is subject to the relationship between the consumer, merchant, and the service provider.
Salla platform may stipulate at any time and under any circumstances that payment transactions takes place directly between the merchant and consumer via their bank accounts, and Salla platform will have no relation then.
Salla platform providing the online payment service through the platform is for the purpose of facilitation and preserving the rights of merchants and stores.
The merchant commits to setting the price of the service or product displayed in their store according to the recognized market value. Salla platform has no relation whatsoever to the mispricing of products or services offered in the stores on Salla platform, as pricing them in a commercially recognized manner is an obligation resting entirely on the merchant.
The merchant commits to providing invoices, payment vouchers, and receipt vouchers for all amounts and profits arising in their store, and commits to clarifying in all these invoices the type of commodity or service, quantities, descriptions, and value. Accordingly, the merchant commits to providing the required accounting characteristics in their online store, in application of the provisions of this agreement and for the legal, economic, and commercial interests this تنظيم holds for merchants. In case the merchant violates the provisions of this clause, they are considered responsible for any damages that may arise as a result of this violation.
Salla platform has the right to prevent the completion of any payment transaction violating the rules and provisions of the user agreement or cancel any purchase or sale order due to a technical error on the platform that led to a difference in the displayed prices on the platform from the market value of the product, resulting in a loss for Salla platform, and Salla platform is not responsible for those amounts.
Salla platform management has the right to cancel, modify, or change any of the payment methods made available on Salla platform.
Article Nine – Your Personal Information and Transaction Details Information:
You do not object to granting Salla platform an unlimited, global, permanent, irrevocable, charge-free, licensed right to use personal information, materials, or others that you provided to the platform or announced on the platform through your joining or establishing your store, through the designated communication and registration forms, or through any emails or any available communication channels on the platform, with the aim of achieving any interests the platform deems appropriate.
You are solely responsible for the information you sent or published, and Salla platform's role is restricted to allowing you to display this information through Salla platform and its advertising channels.
The confidentiality of stores' and merchants' information is subject to the rules of Salla platform's "Privacy Policy and Confidentiality of Information".
Article Ten – The Merchant's Commitment to Comply with Laws and Regulations in the Kingdom of Saudi Arabia:
The merchant commits to complying with all laws and regulations in force within the Kingdom of Saudi Arabia regarding their products and/or during their use of Salla platform, and the applicable laws, terms, and conditions governing the use of the internet space, the user agreement, the privacy policy, and confidentiality of information applicable at Salla platform.
In case any of the merchants violate what is stated in the first clause of Article Ten, they acknowledge Salla platform's right to take any of the following actions, including but not limited to: warning, suspending the service and closing the store, and returning any pending amounts in electronic payments to consumers.
Article Eleven – Rights:
All content present on Salla platform, whether electronic or otherwise, written or unwritten, including but not limited to: written and unwritten texts - graphic designs - technical ideas - logos - offers - button icons - symbols - audio clips - aggregated data and software, is the property of Salla platform and its rights are reserved for Salla platform. No person has the right to use them in any way, whether directly, indirectly, or through a third party.
Salla platform management notes that it will take the necessary action regarding any transgression and violation of any Salla platform rights or intellectual property.
Salla platform does not bear responsibility in case of infringement of intellectual property rights owned by merchant members of the platform or stores registered with it.
Article Twelve – Intellectual Property:
Salla platform management respects the intellectual property rights of merchants which they created through their stores, whether owned by them before or after establishing the store.
The merchant respects Salla platform's intellectual property rights, including Salla platform itself, words, logos, and other symbols of Salla platform or displayed on Salla platform. Salla platform, and every right belonging to Salla platform, are rights protected by intellectual property rights and trademark laws, and are the exclusive property of Salla platform, and it is under no circumstances allowed to violate them or use them without authorization from Salla platform management.
Article Thirteen – The Consumer:
Out of Salla platform's concern for consumers' rights, and to achieve one of Salla platform's most important goals in providing high-quality service to all parties, Salla platform clarifies the following:
During purchasing transactions, the consumer provides Salla platform with the following information, including but not limited to: name - email - phone.
Salla platform's technical systems keep consumers' data with the aim of facilitating their access to the platform and completion of purchasing operations they wish for.
If the consumer purchased an item via one of the payment methods available on Salla platform and did not receive their item or received an item that differs from the specifications displayed on the store page, the consumer then has the right to report to Salla platform, and Salla platform has the right to take what it deems appropriate against the store that violated the rules of this agreement, according to its rules. However, Salla platform is not legally or Sharia-wise responsible for this breach by the merchant towards the consumer, as it is not a party to the relationship between the consumer and the merchant, but does so to improve the quality of Salla platform and the merchants present on the platform.
The consumer has the right to review their purchases before receiving them to ensure they are sound and matching what was purchased, as Salla platform is not responsible for the relationship between the consumer and merchant.
The consumer acknowledges thoroughly that they browse the online store out of their personal desire and purchase from the online store based on their personal responsibility.
The consumer understands and realizes that the online store has an independent legal persona separate from Salla platform, as all online stores registered on Salla platform have their own electronic commercial registration or freelance document belonging to the practitioner of e-commerce.
Salla platform does not commit at all under this article and clause to react to the consumer's complaint, but the platform's reaction to the consumer's complaint is subject to the sole desire of Salla platform and what it deems appropriate according to the rules of this agreement, and in a way that preserves its interests and its commercial and economic reputation. In any case, Salla platform may take some measures against stores that deliberately deceive, mislead, or cheat the consumer, such as: freezing the store's membership, alerting the store not to repeat this, or forcing the store to compensate the consumer, out of Salla platform's desire to preserve and protect the rights of all users and registered members with it.
Article Fourteen – Liability of Salla Platform before the Consumer and Merchant:
Salla platform is not responsible in any way for any unsatisfactory or delayed performance by stores, shipping companies, electronic payment gateways, banks, or consumers' failure to pay, nor for any losses, malfunctions, or delays due to unavailable goods, delayed delivery, or poor service quality provided by stores.
Salla platform does not bear any claims arising from errors or negligence, whether caused directly, indirectly, accidentally, or through a third party.
Salla platform does not bear any claims or liabilities arising from financial losses, defamation, libel, or any damages arising as a result of misuse, abuse, or inability to use Salla platform. Salla platform does not bear any responsibilities or claims in such cases.
Salla platform, its officials, employees, or owners are not responsible for any claim, dispute, costs, damages, or any direct or indirect liability or loss to any party arising from an action done by one of the platform users.
Salla platform, its employees, owners, and representatives have no relation to any liability regarding a sound, legal, and authorized product according to the laws and regulations of the Kingdom of Saudi Arabia that is used for illegal and irregular purposes, and no person or entity has the right to claim against Salla platform with any lawsuit, claim, or compensation regarding the mentioned misuse, as all products or services provided on Salla electronic platform are offered through merchants and their stores.
Salla platform, its employees, owners, and representatives have no relation to any illegal or unauthorized activity conducted by the store, or any activity that violates the regulations and instructions in force in the Kingdom of Saudi Arabia, as Salla platform's responsibility is restricted only to providing electronic support tools represented in establishing the online store and the subsequent electronic support services.
Salla platform management warns all merchants that in case it notices any suspicious activities planned, being committed, or committed on Salla platform, it will report these activities to the competent authorities, and it is under no circumstances responsible for these violations that take place without Salla platform's knowledge or notice.
Article Fifteen – Confidentiality of Information:
Salla platform informs you that the World Wide Web (internet space) is not a secure medium, and the confidentiality of personal information cannot be 100% guaranteed in the internet space.
Salla platform adopts high-quality standards (physical, organizational, and technological) to protect users and consumers and prevent unauthorized access to users' personal information or their stores, and save it.
Salla platform has no control over the actions of any third party, or others, such as other web pages connected via links to the platform or third parties claiming to represent you and others.
You understand and agree that Salla platform may use your information that you provided to offer services to you on Salla platform, and to send marketing messages to you. Salla platform's privacy policy regulates the collection, processing, use, and transfer of your personal identity information. Confidentiality rules are subject to "Privacy Policy and Confidentiality of Information - Link to be placed" of Salla platform.
Article Sixteen – Exchange and Return Policy:
The validity period of user accounts and purchased branches is the same as the subscription validity period. When purchasing a user account or branch, the cost of the account will be calculated according to the remaining duration of the package subscription.
The validity period of purchased messages for the store is one year from the purchase date.
Subscription can be temporarily paused in packages (Salla Plus and Salla Pro) for a maximum of 30 days without fees, provided the number of pauses does not exceed twice a year.
Upon canceling one of the paid packages' subscriptions, you can continue to use the package and benefit from its advantages until the subscription expiry date.
In case of canceling any package for the first time, bank account transfer fees of 8.05 SAR including tax will be calculated, in addition to any other fees imposed to achieve this.
In case of withdrawing balance from the wallet, bank account transfer fees of 8.05 SAR including tax will be calculated, in addition to any other fees imposed to achieve this.
You have the right to submit a request to withdraw your store wallet balance once a day, provided the withdrawal amount does not exceed (5000) five thousand Saudi Riyals per day. In case of exceeding this limit, you can resubmit a new request the following day. The requested amounts are transferred to your bank account once a week.
Reasonable efforts are made to transfer the due amounts on time, without Salla platform bearing any responsibility for any delays that may arise due to internal procedures, such as doubts related to identity verification or open complaints against the store, or banking procedures like an error in the registered bank account information, or any other circumstances beyond Salla platform's control.Loyalty points balance cannot be withdrawn to your personal account. You can use loyalty points to renew packages.
The maturity date for loyalty points is 14 days after the second merchant uses the coupon.
Store design templates cannot be canceled or exchanged.
The merchant has the right at any time to cancel subscription or automatic renewal of "Employees - Branches" services without refunding any prepaid amounts for the mentioned services.
Paid packages will automatically renew upon availability of an added credit card or available balance in the wallet.
When activating the automatic subscription renewal option in the store package or one of Salla's services or applications, the balance will be automatically withdrawn immediately upon issuance of the new non-refundable subscription invoice.
In case the subscription expires and the package is not renewed, the store will be automatically downgraded to the (Basic) package settings.
When subscribing to the Pro package, you can use it and benefit from its advantages until the Pro package subscription expiry date before you can downgrade the subscription to the Plus package.
When subscribing to Salla packages using payment methods available on the app in iOS, the subscription fees are subject to Apple's costs and terms, and Salla platform has no authority over these costs and terms.
Article Seventeen – Cancellation of Consumers' or Online Store's Membership:
Salla platform, according to the user agreement and in accordance with the laws and regulations in force in the Kingdom of Saudi Arabia, may temporarily or permanently suspend the store, withdraw and cancel the membership of the merchant or consumers, or limit merchants' capabilities to access Salla platform services, in case of:
Violation of the rules and provisions of the user agreement.
Verbal or written abuse, assault, or threat by any means, directly or indirectly, whether coming from the merchant, their online store employees, or any of the consumers, towards Salla platform, any of its partners, employees, or representatives.
If Salla platform cannot verify any user information provided to it.
If Salla platform decides that the user's activities violate the law or that the user's activities may cause other users or Salla platform trouble or legal violations.
Salla platform, "based on its assessment", may restore suspended users' activities, as a user whose activity was permanently suspended or whose membership was canceled may not register, restore their account on Salla platform, or use the platform in any way regardless of the circumstances, unless allowed to restore activity by Salla platform management. However, in case the user violates this user agreement, Salla platform reserves its right to recover or demand any due amounts to Salla platform from the user and any losses or damages caused by the merchant to Salla platform. Salla platform also has the right to take legal action or appeal to judicial authorities in the Kingdom of Saudi Arabia against the user as Salla platform deems appropriate.
Salla platform does not waive its right to take appropriate action regarding any violation occurring to the rules and provisions of the user agreement and other similar violation acts. Likewise, Salla platform is not committed to taking action against any violation made to the user agreement, but this is subject to the discretion of Salla platform management and its legal department.
Article Eighteen – Requesting Store Closure:
The merchant has the right to request the closure of their registered store in Salla platform's database. When submitting the request, they must provide some documents, including but not limited to: the closure request signed by the store's legal representative and stamped by official authorities.
Salla platform reserves the right to accept or reject the closure request, and demand any rights or financial dues owed by the store.
Without prejudice to the provisions of the clauses in Article Sixteen of this agreement, if the merchant submits a request to close their store, they will not be eligible for a refund of any active subscription amounts.
Article Nineteen – Payment, Sale, and Purchase Operations:
The merchant commits to managing their store well, preserving consumer rights, and not causing disputes between them and the consumer.
The merchant commits to managing payment, sale, and purchase operations taking place in their store via the payment methods specified in this agreement.
Salla platform has the right to reject, cancel, or suspend purchase operations, whether payment was made or not.
Salla platform warns that it has no relation to any dispute that may arise between the consumer and merchant, and has no relation to any default from the consumer towards the store, whether by failing to pay or otherwise.
The merchant agrees and acknowledges that they will not perform unreal or manipulative purchase transactions on Salla platform, will not use an unreal name or any unreal personal details, or use a credit card not belonging to them without authorized purchase, as Salla platform has the right to take appropriate legal action against anyone performing fraudulent transactions of this kind.
All merchants and online stores acknowledge thoroughly that Salla platform management, in transferring money for their commercial activities within Salla platform, is subject to the authority and powers of the Saudi Central Bank, and as a result Salla platform warns all stores and merchants that it may delay transferring some funds due to restrictions of the Central Bank, Ministry of Commerce and Investment, and electronic trade regulations imposed on electronic buying and selling operations.
Salla platform reserves its right to impose any fees on merchants or stores as a result of their operations within Salla platform, and fees could be, for example: government fees, bank fees, administrative fees, or any other fees requested from Salla platform to pay due to the merchant's or store's activity.
Article Twenty - Non-permissible Contents and Products:
As a merchant on Salla platform, you commit not to allow advertising or publishing through your store any content that violates the privacy policy and confidentiality of information, or violates the rules and provisions of this user agreement or the regulations in force in the Kingdom of Saudi Arabia.
Salla platform strictly forbids selling the following products and services, including but not limited to: any product/service containing gambling, mystery boxes or random products, any product/service that may lead to physical or psychological harm of any kind, any pirated content or subscriptions and everything that violates intellectual property and copyright, any sexual or pornographic product/service or anything promoting that.
Article Twenty-One - Saudi Anti-Cybercrime Law:
Merchants and users commit not to violate any provisions of the Saudi Anti-Cybercrime Law. In case they violate its provisions, this is subject to their sole responsibility and management, and Salla platform bears no responsibility as a result of the store violating applicable regulations, as the merchant is fully responsible for their store and interaction with consumers. Salla platform always has the right to take what it deems appropriate regarding any store or merchant violating the provisions of the Saudi Anti-Cybercrime Law, whether by reporting to official authorities or closing the online store or canceling the merchant's membership with the platform.
Article Twenty-Two – Restricting Access or Membership:
Without prejudice to other merchants' rights, Salla platform can suspend or cancel the merchant's membership or restrict the merchant's access to platform services at any time, without warning, and for any reason, without limitation.
Article Twenty-Three – Warranty:
Salla platform does not warrant fixing technical failures nor guarantees that the products offered by merchants are free from other defects, but the store or merchant guarantees them in case the warranty and its duration are mentioned in the product description, and the merchant must commit to good quality in their online store.
Article Twenty-Four – Merchant Liability:
The merchant agrees to take responsibility and protect Salla platform, its employees, owners, or affiliates from any damage that may affect Salla platform due to the merchant's violations. They also commit to lifting or preventing any damage that may affect Salla platform, its employees, or any of them due to claims, losses, malfunctions, costs, expenses, or fees resulting from user misuse or merchant misuse, leading to a breach of the user agreement, applicable regulations and laws in the Kingdom of Saudi Arabia, infringement of another merchant's or third parties' rights, or a complaint from a user or third parties.
Article Twenty-Five – Relationship and Notices between Salla Platform and Merchants:
None of the rules and provisions of this user agreement indicate a partnership between any merchant and Salla platform. Salla platform does not allow any merchant under any circumstances to refer directly or indirectly or dictate the existence of a relationship of any kind, whether direct or indirect, between them as a merchant and Salla platform or its management. Any notices the merchant wishes to send to Salla platform must be sent via email, and Salla platform will reply to the email. You as a merchant agree that any notices sent to you by Salla platform will be delivered to you via the email you provided to Salla platform during registration.
Article Twenty-Six – Applicable Law and Legislation:
This user agreement is governed and drafted in accordance with the laws, systems, and legislations applicable and active in the Kingdom of Saudi Arabia, and is fully subject to the legislation active under authorities in the Kingdom of Saudi Arabia.
Article Twenty-Seven – Rules the Store Must Follow When Interacting with the Consumer:
The merchant commits when interacting with the consumer to commit to honesty, trust, and integrity.
The merchant commits when interacting with the consumer to commit to good ethics.
Article Twenty-Eight – Print and Digital Promotional Publications and Salla Platform Special Offers:
The rules and provisions of this user agreement apply to all print and digital promotional publications across various publishing platforms and social media networks.
Publications are subject to change and are not binding for Salla platform regarding the stability of services, packages, or offers prices. Price changes are subject to variables occurring to Salla platform, stores, or merchants.
Any offers placed by Salla platform are temporary and specified for a set duration. Salla platform is not committed to extending the duration or continuing with the set duration, as it has the right to suffice with or limit any user's eligibility for this offer, or cancel this offer at any time.

Article Twenty-Nine – Strategic and Logistic Services (Third-Party Services):
Under the rules and provisions of this user agreement, Salla platform may provide some strategic or logistic services through a third party or parties, which could be, for example: shipping companies and product delivery services.
Salla platform informs you that providing strategic or logistic services is only for facilitation and cooperation to help Salla platform users, and it is not committed to doing so.
Salla platform informs you that it is entirely not responsible, directly or indirectly, for any actions performed by any third party, and that what it does is merely a connection between the user and the service provider (third party/partner).
Salla platform informs you that requesting this service is not mandatory but depends on the desire and need of the user. When the merchant uses third-party services available on Salla platform, Salla platform disclaims its responsibility for this relationship, and this relationship will have its independent terms concluded between the merchant and the third party.
Some strategic and logistic service providers set their own terms or costs, and Salla platform has no authority over these terms or costs. Therefore, Salla platform advises its registered merchants to review the terms of the service provider (third party) and their service costs before confirming the service request.
If the user requests a service provided through a (third party), the user by this action authorizes Salla platform and grants it permission to provide the service provider (third party) with the user's personal data they require, and other details needed by the service provider (third party), in accordance with the privacy policy and confidentiality of information applicable on Salla platform.
Some services provided by (third party) on Salla platform are used by the merchant through bills issued by agreement between the service provider and Salla platform, so their use will be via Salla platform, and Salla platform may deduct some costs from them to execute the agreement between Salla platform and the service provider (third party). Salla platform bears no responsibility resulting from the service provider's failure to provide their services.
Some paid service providers set their own terms or costs, and Salla platform has no authority over these terms; your billing relationship will be directly with the concerned third party (e.g., subscribing to Salla packages via Apple App Store). Therefore, Salla platform advises its registered merchants to review the terms of the service provider (third party) and their service costs before confirming the service request.
Some international shipping services provided by (third party) via Salla platform can be utilized by the merchant through Salla's shipping gateway in accordance with an agreement concluded between Salla platform and the service provider. International shipping costs are passed to the merchant without any profit margin, and Salla platform deserves an independent commission for providing this service, subject to VAT. The merchant commits to paying the full cost of the international shipping service, including Salla platform's commission and due tax, according to prices set on the gateway which might be updated from time to time. Salla platform bears no responsibility towards any default by the service provider (third party) in providing shipping services.
Article Thirty – Technical Support:
Under the rules and provisions of this user agreement, Salla platform provides some technical support services for stores and merchants, in accordance with the advantages of the package the store subscribes to, such as:
A free control panel for stores, including some free services within the control panel.
In case the merchant wants to add some services, different services, or multiple services, this is subject to Salla platform packages and offers policy which is mostly subject to fees.
Salla platform allows stores to communicate with Salla's technical support team to assist store operations through the platform and resolve electronic technical problems that may arise in stores.
Article Thirty-One – Dispute Resolution:
Under the rules and provisions of this user agreement, in case of dispute, the conflict is resolved via reconciliation, negotiations, or amicable settlement. In case the dispute continues, it will be resolved through the competent authorities in the Kingdom of Saudi Arabia.
Article Thirty-Two – Policy for Receiving Consumer Complaints and Settling Disputes between Consumer and Store:
Salla platform hopes that in case of a complaint between a consumer and a store, the following steps are followed:
Step One: Submit a complaint via the designated link on Salla platform, provided the complaint includes: complaint text, supporting documents, and the name of the violating store. Salla platform will then refer the complaint to the concerned store to resolve it.
Step Two: The consumer has the right to take what they deem appropriate after reviewing the store's response to the complaint. In case the consumer is not satisfied with the store's response, they have the right to request a copy of the store’s legal identity to take the necessary measures against the store.
Article Thirty-Three – General Provisions:
In case of cancellation of any article or clause in this user agreement, or if any article or clause in the user agreement is no longer active, this does not cancel the validity of other articles, clauses, rules, and provisions in the user agreement, which remain active until further notice from Salla platform management.
This user agreement – which is amended from time to time as required – represents the mechanism of work, understanding, agreement, and contract between the merchant, their store, and Salla platform only. The merchant and store commit to complying with the provisions of this agreement; the merchant also agrees to and acknowledges the following:
This user agreement applies to all Salla platform users, regulates the relationship, and represents the contract between the merchant and Salla platform only, regardless of any legal form, entity, corporate, commercial, or charity form the merchant or store takes. As for the relationship between the merchant and consumer, it is subject to an independent legal relationship with its own rules in place between them.
The merchant who joins Salla platform through (Salla Partners) thereby grants the success partner through whom they registered the right to view the merchant's and store's information.
No person – except Salla platform management or judicial authorities in the Kingdom of Saudi Arabia – has the right to impose any articles, clauses, or modifications on Salla platform's user agreement.
If the user agreement is translated into another language, whether on Salla platform or otherwise, the Arabic text of the user agreement remains the origin in all dealings.
In case of modifying this user agreement, all merchants and users will be notified, and their continuation in using the platform is considered an acceptance of any modifications to this agreement.
This user agreement cannot be canceled or modified except by a decision issued by Salla platform management.
Policy for Package Subscriptions, Trial Period, and Refunds
Article One: Free Trial
1.1. Trial Duration: Salla grants new merchants a free trial period of (14) days on paid packages, starting from the package activation date, with the aim of enabling the merchant to fully explore the advantages and features of the package before committing to the subscription.
1.2. Activation Requirements: Activating the free trial requires the merchant to link an approved electronic payment method (credit card or Mada card) with their account on Salla platform. The merchant bears the responsibility of ensuring the correctness and validity of the payment method.
1.3. Automatic Renewal: Under these terms, the merchant explicitly agrees to authorize Salla to automatically deduct the package subscription value upon the expiry of the free trial period (on the fifteenth day), unless the merchant manually cancels the automatic renewal via the control panel before the deduction date without any additional fees being imposed.
1.4. Fair Use Policy: In case the merchant has more than one store registered in Salla with the same ID or contact details (ID number, mobile number, email), the eligibility for the free trial is subject to the following conditions:
A. Salla has the right to verify the record of complaints and claims associated with all of the merchant's stores.
B. Total unresolved or open complaints across all of their stores must not exceed (10) complaints. In case of exceeding this limit, the merchant is not eligible to benefit from the free trial.
Article Two: Subscription Cancellation and Fees Refund
2.1. Refund Conditions: Exceptionally, the merchant has the right to request a refund of the amount paid for their first subscription to paid packages, in accordance with the following combined conditions:
A. This must be the first subscription for the merchant in Salla.
B. The request must be for the first store created in their account.
C. The refund request must be submitted within a period not exceeding (7) days from the date of the first subscription fees deduction (after the end of the free trial).
2.2. Requests Not Fulfilling Conditions: Any refund request that does not fulfill the conditions mentioned in Article (2.1) will be automatically rejected, with the merchant being notified of the reasons for rejection.
Article Three: Control and Review
3.1. Automated Verification: All cancellation and refund requests are subject to automated verification via the compliance system in Salla to ensure the applicability of the conditions mentioned in this policy.
3.2. Manual Review: In case the system detects any suspicion of abuse (such as multiple accounts or suspicious business patterns), the request will be suspended and the merchant notified of the need for a manual review by the specialized team.
3.3. Holding Funds: Salla has the right to hold refunded amounts for up to (15) working days from the date of approving the refund request to ensure there are no open financial claims or complaints from third parties (customers, payment gateways, shipping companies) against the store.
Article Four: Anti-Fraud and Abuse
4.1. Creating multiple accounts with different data to bypass the system to obtain repeated trial periods or illegally exploit the refund policy is strictly prohibited. This action is considered a fundamental violation of Salla platform use provisions.
4.2. In case a violation is proven, Salla has the right to take the necessary measures, including suspending or closing the associated accounts, holding the violated amounts, and deducting any owed amounts to it or compensation for direct damages resulting from that violation, without prejudice to its right to claim any other rights approved by the applicable regulations in the Kingdom of Saudi Arabia.
